Tax Aspects of Fund Structuring and Acquisition Techniques
Overview and Learning Objectives
This course is designed to provide participants with an in-depth analysis of the legal and tax issues related to private equity and venture capital. More specifically, it describes the legal and tax aspects that have to be taken into account in making the investment decision and it gives a detailed overview of the structures and techniques used in daily practice. The course is articulated into two and a half days. After a general introduction and analysis of the applicable legislation, Day 1 is dedicated to the tax aspects of fund structuring, focusing on tax treaties and EC law. Day 2 deals with the most-commonly used acquisition techniques and post-acquisition tax planning tools and Day 3 deals with the indirect tax aspects of fund structuring and anti-avoidance rules. The course will be interactive, with case studies to enable participants to gain confidence in applying the skills acquired during the course. The course will be taught by experienced international practitioners specialized in the field of private equity and venture capital. Who Should Attend?
The course represents an ideal instrument for private investors, fund managers, lawyers, tax consultants and professionals in general who wish to gain a complete understanding on fund structuring and acquisition techniques.
Course Level and Prerequisites
This is an intermediate level course. Participants should be familiar with the structure of tax treaties and their allocation rules in addition to the domestic law of at least one country, in particular as it relates to cross-border situations. Interactive Course - "Group Live"
